Frequently Asked Questions
Everything you need to know about our contract auditing platform, legal disclaimers, Microsoft Word redlines, and Zero Data Retention architecture.
Legal Nature & Scope
Does ClauseFlaw constitute formal legal advice?
No. ClauseFlaw is an automated commercial negotiation assistance platform and contract static analysis engine. We are not a law firm, our tools do not constitute legal representation, and using our platform does not form an attorney-client relationship. Our risk scores, disaster calculations, and counter-clauses are heuristic informational aids designed to assist business professionals in evaluating commercial terms.
When should I still hire an attorney?
You should consult licensed legal counsel when dealing with complex corporate equity financing (e.g., Series A/B rounds), cross-border tax restructuring, highly regulated industries (healthcare HIPAA, aerospace defense), active litigation, or multi-million dollar asset purchase agreements. For day-to-day independent contractor agreements, statements of work, and creator sponsorships, ClauseFlaw delivers the speed and cost-efficiency you need.
Redlines & Document Export
Can I directly send the exported Word (.docx) document to my client?
Yes. ClauseFlaw exports true Microsoft Word documents formatted with standard Track Changes markups and author review comments. When your client or their counsel opens the file, they see professional strikethroughs and replacement wording exactly as if marked up by seasoned commercial counsel.
What file formats does ClauseFlaw accept?
You can upload standard Microsoft Word (.docx, .doc) files, text-searchable Adobe PDF (.pdf) documents, plain text (.txt) files, or paste individual clause text directly into our browser auditor.
Privacy & Zero Data Retention
How can I be certain you don't store my confidential contract?
Our backend runs on a zero-retention ephemeral pipeline. Incoming documents are buffered strictly in volatile system RAM during execution and wiped clean upon completion. No temporary files are saved to server disk, no database retains your contract paragraphs, and your agreements are never used to train public or private AI models.
Does uploading an agreement violate my non-disclosure agreement (NDA)?
Because ClauseFlaw performs automated, ephemeral RAM-only processing without archiving, storing, or indexing your files, it functions identically to an automated spell-checker or compiler. However, if your NDA explicitly prohibits automated tool processing, review your specific confidentiality terms.
Commercial Negotiation Strategy
Will asking for contract changes make me look difficult to the client?
Quite the opposite. In professional corporate procurement, clients expect experienced contractors and vendors to redline standard master service agreements. When you provide balanced, market-standard language—such as capping indemnification to 1x fees paid or protecting background IP—it signals that you run a serious, professional business.
What if the client refuses to accept my counter-clauses?
ClauseFlaw provides 3 distinct negotiation tiers: Conservative (least friction, easy client sign-off), Balanced (standard commercial compromise), and Assertive (maximum protection). If a client refuses even standard market liability caps, our worst-case disaster simulations help you make an informed decision on whether walking away is better than risking commercial ruin.
